1.2. User (hereinafter, “You“, “Your“) shall mean the physical or legal person who have registered to a specific Service Package or otherwise accesses the Website.

1.3. Services shall mean the use of all features and access to all content we make available on the website.  

1.4. Content shall mean any information materials, including text, graphic, audio, video, and other materials the User may get access to in the course of using the Services.

2. WHAT YOU AGREE TO BY ACCEPTING THESE Terms of Use

These Terms of Use govern contractual relations between You and  Cyfield Development Public Limited, a company duly registered under the laws and regulations of the Republic of Cyprus, having its registered office at Limassol Avenue 132, CYFIELD TOWER 5th Floor, 2015 Strovolos, Nicosia, Cyprus, with company registration number HE38949 (hereinafter referred to as “Cyfield Group”, “We”, “Company”, “Us”, “Our”) regarding the use of the Website and the use of the Services according to these Terms of Use. 

By accessing the Site, You confirm that You have read, understood, and agreed to be bound by all of these Terms of Use. If You do not agree with all of these Terms of Use, then You are expressly prohibited from using the Site and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby incorporated herein by reference. We reserve the right, at our sole discretion, to make changes or modifications to these Terms of Use at any time. We will update the “Last Updated” date accordingly, and it is Your responsibility to review these Terms periodically.

The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation.

All users who are minors in the jurisdiction in which they reside (generally under 18) must have permission from, and be supervised by, a parent or guardian to use the Site.

Cyfield Group operates the Website solely as a corporate informational website and is not acting as a broker, agent, intermediary, or party to any transaction through the Website.

3. USE OF WEBSITE FUNCTIONALITY

3.1. Provision of the Services

The Services are provided via the Internet using the Websites software. Cyfield Group does not assume liability for any technical failures of the Website and external services resulting from failures and/or lack of stable Internet connection on the User’s part.

3.2. Waiver of guarantees and technical requirements

We do not assume liability and do not guarantee that no technical or any other problems will not occur in the course of the Services, including failures of the Website and/or external services that may be used in the course of the Services, or that access to the Services will be continuous, fast, reliable, and fault-free; nor do we assume liability regarding any error in the operation of the Website and/or of any external services.

You understand and agree that we do not provide any guarantees and do not assume liability for Your failure to get access to the Website’s functionality due to Your lack of technical possibilities for getting such access, including due to the problems with Internet access.

Cyfield Group does not assume responsibility for the compliance of the Services and the content with Your subjective expectations and/or requirements, nor does it guarantee that You will attain any specific results from using the Services which You expect to attain. 

The Website operates as a corporate informational platform presenting Cyfield Group’s activities, developments, and related information  

Cyfield Group does not verify, validate, inspect, approve, or guarantee the completeness, accuracy, or timeliness of any information published on the Website.

Cyfield Group assumes no responsibility towards any User of the Website, for any incomplete or contradictory or inaccurate information or errors in the content of the Website, nor is Cyfield Group responsible for any damage that may be caused to any third party as a result of this and/or in general due to the content of the Website and/or as a result of using the information contained in the Website by You.

We assume no responsibility for the accuracy and/or veracity of any sales history and/or price estimation and/or valuation displayed in the Website which under no circumstances should be used as or instead of a professionally conducted land survey and/or professionally conducted valuation. Cyfield Group is not a legal, financial, engineering, valuation, or other professional advisor and does not provide professional advice through the Website. Any information made available through the Website is provided for general informational purposes only and shall not be relied upon as professional advice or as a substitute for independent verification.

Any transaction entered into as a result of information obtained through the Website is undertaken entirely at the Users’ own risk. 

Cyfield Group may at its sole discretion and at any time update, modify, suspend, enhance, or stop any aspect on the Website for a certain period of time or forever.

4. TERMS OF USE OF THE WEBSITE AND SERVICES

4.1. Resale of information

Sale of any information obtained by Users via the Website is not allowed.

By using the Website You guarantee that:

However,  we may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or on the Site, including but not limited to text, writings, video, audio, photographs, graphics, comments, suggestions, or personal information or other material (collectively, “Contributions”). Unless otherwise indicated, the Website, its Content, and any trademarks, service marks, and logos contained therein are owned or controlled by Cyfield Group and are protected by intellectual property laws and international conventions.

You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Website and its Content. All trademarks, service marks, logos, trade names, and any other source identifiers of the service provider used on or in connection with the Website and the service provider Content are trademarks or registered trademarks of us in Cyprus and abroad. In the event that Cyfield Group is held liable or fined in connection with Your breach of third parties’ rights or prohibitions or restrictions established by law, You shall be obliged to compensate Cyfield Group for all losses.

From time to time, this website may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the websites. We have no responsibility for the content of the linked websites.

You hereby agree that under no circumstances shall Cyfield Groups’   total liability to you in connection with the use of the Website and the provision of the Services exceed the maximum amount of damages awarded by a competent court in comparable cases.

Cyfield Group does not assume responsibility and does not give any guarantees regarding the completeness, reliability and quality of the information;the accuracy and reliability of the content; any results of the information; the compliance of the information and the content with Your requirements and/or expectations; the suitability of the information for any particular purpose; the absence of violations in the course of the information, and the security of use of the Website. 8. SETTLEMENT OF DISPUTES

8.1 Disputes with Cyfield Group

The Parties shall be held liable in accordance with the current legislation of the Republic of Cyprus for the breach of provisions and conditions set out in these Terms of Use.

The Parties will try to settle any disputes and/or claims that may arise in connection with these Terms of Use and the Services, including any issues relating to their validity, violation, termination, or invalidity, amicably by means of negotiations. In the event of a dispute, we recommend contacting us first via e-mail (info@cyfieldgroup.com) try to settle the problem directly with us.

Except as expressly provided in these Terms of Use, any dispute or claim related to access to the Website, use of Cyfield Group’s Services, or otherwise related to these Terms of Use or Cyfield Group’ s Services, which cannot be resolved directly between You and Cyfield Group, shall be settled in a competent court of Cyprus.

You and Cyfield Group agree that any dispute brought to the court shall be considered a dispute between Cyfield Group and You personally. To the maximum extent permitted by law (1) no legal proceedings shall be consolidated with any other proceedings; (2) you are prohibited from resolving any litigation on a group basis or using group proceedings; (3) it is prohibited to refer the litigation to representatives on behalf of the general public or to other persons.

You agree that in the event that any court proceedings between you and Cyfield Group arise, any contact information that you have provided to us, including but not limited to phone number, address, email addresses, may be used to effectuate the service of all necessary court documents or any document related to such proceedings. 

8.3 Exceptions from mandatory legal proceedings

The above provisions regarding mandatory legal proceedings do not cover the following disputes: (1) disputes aimed at ensuring the observance or protection of any intellectual property rights belonging to You or Cyfield Group; (2) disputes under motions for injunctive relief.

9. FORCE MAJEURE

The Parties shall be fully released from liability for failure to fulfill or improper fulfillment of the Terms of Use, which occurred as a result of force majeure (circumstances of insuperable force), including without limitation the following: fires, explosions, floods, storms, strikes, natural disasters, wars, acts of terrorism, riots, pandemics or other circumstances which directly affect the possibility of fulfilling these Terms of Use.

The Party unable to fulfill these Terms of Use due to the circumstances of insuperable force (force majeure) shall inform the other Party about that within ten (10) calendar days after such circumstances occur. Late notification about the occurrence of the circumstances of insuperable force (force majeure) shall deprive the relevant Party of the possibility to refer to them.

The period of performance hereunder shall be extended for the time of force majeure. In the event that such circumstances last longer than thirty (30) calendar days, each of the Parties shall have the right to demand the termination of relations hereunder.

The occurrence of the circumstances of insuperable force (force majeure) shall be attested with the document issued by the relevant competent body.

 10. ENTRY INTO FORCE AND TERMINATION OF THE TERMS AND CONDITIONS

These Terms of Use shall enter into force from the moment of the first visit to the Website.

These Terms of Use shall remain valid in case the Parties’ details are changed. These Terms of Use will also bind any successor, administrator, liquidator and/or any other entity that may succeed either of the Parties’ rights and obligations. 

Either Party may terminate the relationships defined herein at any time and for any reason covered by this document.

We can terminate the relationships established herein in case You have violated these Terms of Use, the law, or other persons’ rights, as stipulated in this document.

Specifically, we reserve the right to suspend or terminate User accounts in cases of breach of these Terms, non-payment of subscription fees, submission of false or unlawful information, or violation of applicable law.

11. MISCELLANEOUS

The failure Cyfiel Group to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. These Terms of Use constitute an entire agreement between You and Cyfield Group regarding the use of the Website and the Services, and supersede any prior Terms of Use that could have existed between You and Cyfield Group.

If any provision of these Terms of Use is recognized as unenforceable, such term or provision shall be replaced with a term or provision that most closely matches the intent underlying such term or provision, the other provisions remaining in force. The legislation of the Republic of Cyprus shall govern Your access to the Website and use of the Services, and shall also apply to these Terms of Use.

Cyfield Group may from time to time unilaterally decide to change these Terms of Use, provided that such changes will not impose additional obligations on you. By continuing to use the Website and Cyfield Group Services after these Terms of Use have been amended, You agree to such amendments. If we introduce any material amendments to these Terms of Use, Cyfield Group will make reasonable efforts to notify You of such amendments, and You shall be responsible for checking the Terms of Use to see whether they have been amended or not. After amendments are introduced, the date of amendments will be indicated in the Last Updated filed in the top of these Terms of Use. 

The description and list of Website functionalities may be changed from time to time without giving You a prior notice. We shall have the right to discontinue (temporarily or permanently) any individual functionality of the Website without prior notice at our sole discretion.

If one or more provisions of the Terms of Use are for any reason invalid, have no legal force, such invalidity shall not affect the validity of any other provision of the Terms of Use, which shall generally remain in force.
